CreaSeed Terms of Service

1. Acceptance of Terms

By accessing or using the services, website, or applications (collectively, the "Service") provided by CreaSeed ("we," "us," or "our"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you SHALL NOT access or use the Service.

2. Service Description and AI Disclaimer

CreaSeed is an artificial intelligence platform that connects content creators with potential commercial opportunities by offering services such as partnership sourcing, deal management, and performance analytics to help creators streamline their operations. Any contents, insights or other outputs ("AI Outputs") generated by CreaSeed are based on User inputs.

  • No Guarantees of Accuracy: The Service utilizes evolving AI technologies. AI Outputs may contain errors, inaccuracies, or omissions. They are for informational and supplementary purposes only and should not be solely relied upon for critical personal, financial, legal, or medical decisions.
  • "AS IS" Service: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranty that the Service will be safe and secure or will work perfectly all the time.
  • Your Responsibility: You are solely responsible for evaluating the accuracy, appropriateness, and completeness of any AI Output and for your use of or reliance on such Output.
  • Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREASEED AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY AI OUTPUTS; OR (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS. CREASEED SHALL NOT BE LIABLE FOR ANY LOSS, HARM, DAMAGE, INCLUDING BUT NOT LIMITED TO ECONOMIC LOSS, PHYSICAL INJURY, OR EMOTIONAL DISTRESS, OR DECISIONS MADE BASED ON THE AI OUTPUTS GENERATED BY CREASEED.
  • Non-acceptable Use: We SHALL NOT accept any use of the following:
    • Using the Service for any unlawful or unauthorized purpose
    • Generating or transmitting any content that is infringing, libelous, hateful, or otherwise objectionable
    • Reversing and attempting to reverse engineer, or tampering with our AI models or systems
    • Scraping or extracting data from the Service by using automated systems, without our written permission

3. Account

  • Credentials Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.
  • Termination: We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
  • Age Requirements:
    • General Age Restriction: The Service is intended solely for Users who are 18 years of age or older. By registering for or using the Service, you guarantee that you are at least 18 years old.
    • Strict Prohibition for Children Under 13: The Service is not directed to, and we do not knowingly accept or solicit information from, children under the age of 13 ("Children"). It is a direct violation of these Terms for any Child to access or attempt to access the Service. We utilize age-verification measures at sign-up and reserve the right to request proof of age at any time. If we learn that a Child has provided personal information, we will terminate the corresponding account and delete such information immediately.
    • Conditional Access for Minors (13-17): Minors between the ages of 13 and 17 ("Minors") are expressly prohibited from using the Service until and unless we have received verified, valid consent from their legal guardian ("Guardian Consent").
      • Guardian Consent Process: A Minor's account will remain inactive and inaccessible until we complete a specific Guardian Consent verification process. This process will require the submitting parent or guardian to provide documentation sufficient to verify their identity and guardianship to the Minor, as specified by CreaSeed.
      • Guardian Responsibility: By providing Guardian Consent, the legal guardian agrees: (i) to be fully bound by these Terms on behalf of the Minor; (ii) to supervise the Minor's use of the Service; and (iii) to be solely responsible for all activity conducted through the Minor's account.
    • Providing false age or identity information is a material breach of these Terms and will result in immediate account termination.

4. Intellectual Property

  • The Service: The Service and its original content (excluding User Content and AI-Generated Content), features, and functionality are and will remain the exclusive property of CreaSeed and its licensors. To operate and improve the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and distribute your User Content, solely for the purpose of providing and promoting the Service.
  • User Content: You reserve all rights to any content uploaded to the Service.
  • AI-Generated Content: As between you and CreaSeed, and to the extent permitted by applicable law, you reserve all rights to the output generated by the AI based on your input.

5. Privacy

Providing our Service requires collecting and using your information. The Privacy Policy explains how we collect, use, and share information on CreaSeed. It also explains the many ways you can control your information. You must agree with the Privacy Policy to use CreaSeed.

6. Subscriptions, Payments, and Refunds

  • Subscriptions: Some parts of our Service are billed on a subscription basis. You will be billed in advance on a recurring, periodic basis.
  • Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account management page.
  • No Refunds; Limited Exception: All subscriptions are non-refundable, except as expressly provided in these Terms or required by applicable law. We do not provide refunds for partial use, changes of mind, or dissatisfaction with AI Outputs.
  • Unused Token Refund Request: Under certain circumstances at our sole discretion, we may consider a refund request for unused, prepaid tokens or credits. Any such request must be submitted officially in writing to us and will be evaluated on a case-by-case basis. We make no guarantee that any refund will be issued.

7. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

  • Informal Resolution: You agree to attempt to resolve any dispute with us informally for at least 30 days before initiating any formal proceeding.
  • Waiver of Class Actions and Jury Trials: YOU AND CREASEED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. YOU EXPRESSLY WAIVE YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
  • Governing Law and Venue: These Terms and any action related thereto will be governed by the laws of the State of California/Delaware, without regard to its conflict of law provisions. For any claims not subject to arbitration, or to compel arbitration, you agree to submit to the exclusive personal jurisdiction and venue of the state and federal courts located in California/Delaware.

8. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

9. General

These Terms constitute the entire agreement between you and CreaSeed. If we fail to enforce any aspect of this agreement, it will not be a waiver. If any aspect of this agreement is unenforceable, the rest will remain in effect. We reserve all rights not expressly granted to you.
